An Idaho’s Heart board member must meet certain standards of conduct and attention in carrying out his or her responsibilities to the organization. For example, a board member owes the duty to exercise reasonable care when he or she makes a decision as a steward of the organization, can never use information obtained as a member for personal gain, but must act in the best interests of the organization and are faithful to the organization's mission. They are not permitted to act in a way that is inconsistent with the central goals of the organization. A basis for this rule lies in the public's trust that the organization will manage donated funds to fulfill the organization's mission. Specific responsibilities of individual board members include: 1. Regularly attends board meetings and important related meetings. 2. Makes serious commitment to participate actively in committee work. 3. Volunteers for and willingly accepts assignments and completes them thoroughly and on time. 4. Stays informed about committee matters, prepares themselves well for meetings, and reviews and comments on minutes and reports. 5. Gets to know other committee members and builds a collegial working relationship that contributes to consensus. 6. Is an active participant in the committee's annual evaluation and planning efforts. a.
Approve the
organization's philosophy and review management's performance in achieving it. b.
Annually
assess the environment and approve the organization's strategy in relation to
it. c.
Annually
review and approve the organization's plans for funding its strategy. d.
Review and
approve the organization's five year financial goals. e.
Annually
review and approve the organization's budget. f.
Approve major policies. 7.
Participates in fund raising for the organization. 8.
Oversees management and
operations of the organization. a.
Elect,
monitor, appraise, advise, support, reward, and, when necessary, change top
management. b.
Be assured
that management succession is properly being provided. c.
Be assured
that the status of organizational strength and staffing planning is equal to the
requirements of the long range goals. d.
Approve
appropriate compensation and benefit policies and practices. e.
Propose a
slate of directors to members and fill vacancies as needed. f.
Annually approve the Performance Review of the Executive Director
and establish his/her compensation based on recommendations of the Personnel
Committee and President of the Board. g.
Determine
eligibility for and appoint Board Committees in response to recommendations of
the Nominating Committee. h.
Annually
review the performance of the Board and take steps to improve its performance. i.
Review the results achieved by management as compared with the
organization's philosophy, annual and long range goals, and the performance of
similar institutions. j.
Be certain that the financial structure of the organization is
adequate for its current needs and its long-range strategy. k.
Provide candid
and constructive criticism, advice, and comments. l.
Approve major actions of the organization, such as capital
expenditures and major program and service changes. 9.
Participate in annual
audits of the organization’s financial and operational stability. a.
Be assured that the Board and its
committees are adequately and currently informed - through reports and other
methods - of the condition of the organization and its operations. b.
Be assured that published reports
properly reflect the operating results and financial condition of the
organization. c.
Ascertain that management has
established appropriate policies to define and identify conflicts of interest
throughout the organization, and is diligently administering and enforcing those
policies. d.
Appoint independent auditors subject to
approval by members. e.
Review compliance with relevant material
